Stockholders of the Gorham Mfg. Co. Hold Annual Meeting and Elect Officers

Providence, R. I., March 16.—The annual meeting of the stockholders of the Gorham Mfg. Co. was held at the company’s office in this city, Wednesday, at 3 o’clock p. m. The meeting was called for the purpose of making certain amendments to the by-laws and for the election of directors for the ensuing year and for such other business as might legally come before the meeting. The amendments to the by-laws were presented and adopted as recommended by the board of directors.

The annual report of the directors to the stockholders was read and placed on file. The following persons were elected for directors for the ensuing year : Edward Holbrook, George E. Martin, J. F. P. Lawton, John S. Holbrook, Herbert J. Wells, Russell Grinnell, E. F. Aldrich, F. C. Lawton, Henry S. Sprague. Of the new directors, Herbert J. Wells is president of the Rhode Island Hospital Trust Co., Providence, R.I. ; Henry S. Sprague is of the firm of the Sprague-Cooke Co., and George E. Martin is vice-president of the Phenix National Bank.

Following the meeting of the stockholders the new directors met for organization and elected the following officers : President and treasurer, Edward Holbrook ; vice-president; John S. Holbrook; assistant treasurer and secretary, John F. P. Lawton.

A deal of large proportions and significance in the silver manufacturing industry is disclosed by the filing of certificate of consolidation by the Silversmiths’ Co., and the Silversmiths' Stock Co., a merger in which the Gorham Mfg. Co. is the chief factor. Edward Holbrook, president of the Gorham Co., is named as executive head of the consolidated company, while John S. Holbrook, of New York, and Herbert J. Wells, of Providence, are among the directors. The capital stock is $I4,000,000, and its object is to manufacture and sell jewelry and silverware. Both companies are among the five subsidiary companies controlled by the Gorham company, and now that the merger has been effected it is expected the Gorham company will be in more complete control of the stock and business of the various concerns in which it is interested.

The Suit of Gorham Mfg. Co. Against Jordan, Marsh & Co.

Boston, Mass., Nov 6.—Pursuant to the order of notice issued last week by the Supreme Court in proceedings brought by the Gorham Mfg. Co. for an injunction to restrain Jordan, Marsh & Co., of this city, from selling goods purporting to be manufactured by the plaintiffs, but which are held to be spurious by said plaintiffs, counsel for both parties appeared in court to-day.

In brief, the bill of complaint set forth that the plaintiff corporation’s established reputation in connection with the words “Gorham” or “Gorham Manufacturing Co.,” in conjunction with the sale of silver or silver plated goods entitles them to the benefits arising therefrom. It was alleged that on the blades of certain knives advertised and sold by the defendants were stamped the words “Gorham Mfg. Co., quadruple plate,” and that the knives so advertised, sold and offered for sale by the defendants were not made by the plaintiffs, as the defendants well know, but are very inferior in quality to any knives made by the plaintiffs ; also that the price of $3.50 a dozen, for which said knives were sold, and the price of $6 a dozen, which was advertised as the real value of said knives, were far below the price for which knives of the same general appearance and pattern made by the plaintiffs could be bought at wholesale at the factory of the plaintiffs ; further, that the plaintiffs and their agents have refused to sell and have not sold the defendants any of the goods made by them, nor authorized the defendants to use their name or patterns in any way. The plaintiffs pray for an injunction restraining the defendants from advertising or selling any articles as Gorham’s or as Gorham Mfg. Co.’s which were not made by the plaintiffs, and for such further relief as equity and the circumstances of the case shall require.

Counsel for Jordan, Marsh &. Co. practically admitted the facts specified, but stated that the firm had no more of the goods referred to in the bill of complaint now on hand, and guaranteed cessation of advertisements and sales such as had led to proceedings against them. Counsel for the defendants made no dispute of the allegations contained in the bill of complaint, basing their answer to the application for an injunction upon the implied lack of necessity therefor, in view of their guaranty as above stated.

The following is the text of the Judge’s decision: “Nov. 6th, 1896. The defendants disclaiming the intent to sell any more of the knives in question, and the court being satisfied that there is no such intent, a preliminary injunction is refused. Liberty to apply in case of any change of circumstance. O. W. H.”

The funeral of Joseph Baker, Sr., who was for some 45 years at the head of the silver casting foundry of the Gorham Mfg. Co., this city, and whose death occurred June 23, was held at his late residence, 47 Vineyard St., last Wednesday, the services being conducted by Nestell Lodge of Masons, of which the deceased was one of the first members. Mr. Baker was born in Middlesex county, England, and learned his trade of silver casting in London, and added much to his skill by his love and knowledge of many forms of art acquired while he was still a young man. He became associated with the Gorham concern, then known as Gorham, Thurber & Dexter, in 1853, coming to this country in response to the earnest request of John Gorham, who was the head of the firm. With the exception of a brief period of less than six months, Mr. Baker remained with the same concern until his retirement a few years ago. He was the first of the employes of the Gorham Mfg. Co. to be retired on a pension. His son, George Baker, whose sad death as the result of a trolley collision, a year ago, will be remembered, succeeded Mr. Baker as the head of the silver casting department. The other son, Joseph Baker, Jr., is in charge of another department at the works.

The Gorham Mfg. Co. Charge One of Their Clerks With Theft

Boston, Mass., Oct. 21.—G. Gordon Meacham was arrested in South Weymouth Thursday night at the instigation of Private Detective Larkin, of the Gorham Mfg. Co.. New York, who charged him with stealing from the Gorham Mfg. Co. the proceeds of some silver ware. Meacham first appeared in South Weymouth about three weeks ago. He represented that he was connected with a well known family in New York, and soon won many friends in that vicinity. When arrested he readily agreed to go to New York without the formality of requisition papers.

Private Detective Larkin, when seen by a Circular representative Monday, stated that Meacham had been employed by the Gorham Mfg. Co. for four or five years, but disappeared about Sept. 16. Some silver ware being missing, he, the detective, started to locate Meacham, and finally succeeded in doing so at South Weymouth and brought him to New York. The specific charge against Meacham is appropriating $34, the proceeds of a sale of silver ware, but many other articles besides these are believed to have disappeared in the same way. The prisoner is 23 years old and unmarried. He was formerly a road salesman for the concern. He was taken before Magistrate Crane in the Jefferson Market Police Court, Friday, and held in default of $1,000 bail for examination.

Among the various foundries business has been fairly good all the year and reports indicate a generous business during the concluding six months. At the bronze foundry of the Gorham Manufacturing Company's plant there are more orders on the books than can be cleaned up in nearly two years and more are being constantly received. One of the handsomest pieces recently turned out by this concern is "The Whaler" that was dedicated a few days ago at New Bedford. It is said to be one of the finest pieces of heroic bronze in the country and is one of a number of similar character that are being finished at the Elmwood works of the company.

PROVIDENCE

W. S. Cole, who has been in the employ of the Gorham Mfg. Co. for the past twenty-five years, was one of the heaviest buyers at the recent sale of stock, tools and fixtures of Fairbrother & Scott, silversmiths, in this city. Mr. Cole intends to locate in Warren, R. I., where he will engage in the manufacturing business.

An elevator in the Gorham Mfg. Co.’s plant, in Elmwood, dropped, Wednesday morning, with three workmen on it. One of them, John Gordon, foreman of the polishing room, was taken to St. Joseph’s Hospital in an ambulance suffering from injuries to one leg. The others escaped unhurt.

The annual “silver opening ” of the Gorham Manufacturing Company took place Jan. 17, and continued two weeks. This is their special exhibit of art productions in silver whereat are displayed the finest pieces of workmanship in their vast collection, many of them being taken from their spring productions and being entirely new to the trade. These exhibitions attract large crowds of interested spectators, including many members of the trade.

Gordon Named General Manager of The Gorham Co.

The board of directors of The Gorham Co. of Providence, R. I., have elected Elliott M. Gordon vice president and general manager of the company.

Gordon joined The Gorham Co. in 1940 as assistant to the president. In 1942 he was elected a vice president and was named executive vice president of the company in 1945.

.....Also to be congratulated are Mr. and Mrs. Albert E. Gardner who celebrated their golden wedding anniversary on July 12th. Mr. Gardner is credit manager of the New York office of the Gorham Co. at 17 Maiden Lane. He has been an employee of the Gorham Co. since September 4, 1894, and is still active with the firm.

Frank L. Barrows, with the Gorham Mfg. Co., was elected Lieutenant Colonel at the 105th annual election of the First Light' Infantry Regiment, the crack independent military organization of this city, last Wednesday evening. J. Robert Sweet, with the Providence office of the National Jewelers' Board of Trade was elected Adjutant and Howard F. Vinica was elected Color Sergeant.

George Wilkinson’s Will Entered For Probate

Providence, R. I., Jan 23.—The will of the late superintendent George Wilkinson, of the Gorham Mfg. Co., was entered for probate in the Municipal Court before Judge Spink this morning. The will makes no public bequests and leaves the whole estate intact among the members of the family. John F. P. Lawton and the deceased’s son, William S. Wilkinson, are named as executors and trustees of tire estate, exempt from giving bond.

The first provision sets aside for the sole use of his widow, Harriet Wilkinson, the household estate and all the household effects and horses and stable equipments and an absolute bequest of $50,000 in common stock, par value, of the Gorham Mfg. Co. To his sister, Mrs. Anna Dillon, of Montpelier, Vt., he bequeaths $2,000. The residue of the estate he places in the hands of his trustees, to be held in trust for the benefit of his widow, who is to receive all incomes after all expenses have been paid. At her death the estate is to be equally distributed among his ten children, Mrs. Jessie Crooker, Walter Wilkinson, William S. Wilkinson, Arthur W. Wilkinson, John B. Wilkinson, Mrs. Amey H. Jackson, Mrs. Harriets. Taylor, Mrs. Esther Ann Hull, Mrs Ruth Wheaton and Robert Wilkinson.

Loans of $5,000 to Walter ; $5,000 to William S.; $3,000 to Arthur W. ; $5,000 to John B. and $3,000 to Robert are to be added to the inventory and deducted from the shares of these children. It is understood that the inventory of the estate will be about $150,000. The witnesses of the will are Theodere A. Barton and Frederick C. Lawton.
